AGREEMENT
Village of Monticello
Village Manager

Agreement dated as of August __, 1997, be [sic] and between:

Village of Monticello, a municipal corporation with its office at 2 Pleasant St., Monticello, New York 12701, hereinafter referred to as "Village" and

Cheryl Shiber, residing at 601 Catalpa Avenue, Teaneck, NJ 07666, hereinafter referred to as the "Village Manager."

Whereas the parties wish to memorialize their understanding with respect to their respective duties and obligations for the employment of the Village of Monticello as Manager.

Now, in consideration of the covenants contained herein the parties agree as follows:

1) The manager is engaged and employed by the village of Monticello as its Village Manager commencing the 1st day of August, 1997 for a term as being at the pleasure of the Board of Trustees of the Village of Monticello.

2) It is understood that the Village Manager is the administrative and executive officer of the village in accordance with Article 15-A of the New York State Village Law in effect at the time of the adoption of the Village Manager form of government by the Village of Monticello, and granted exclusive authority pursuant to Section 201.12 of the New York State Civil Service Law and other applicable statutes.

3) The Manager is to be generally available at the Village Hall Monday through Friday while the Village Hall is open except at times when she is absent on Village business, holidays, vacations or illness. The manager must attend the bi-monthly village board meetings and any other meetings which require your [sic] presence, such as Planning and Zoning Board meetings. The manager shall be available if any situation arises which requires her presence. The manager shall have the right to schedule her day as is appropriate for the conduct of her duties.

4) The manager shall be paid an annual salary of Forty Seven Thousand Five Hundred Dollars ($47,500.00) per year in 26 equal pay periods. The manager is not entitled to overtime or "comp" time for her service. She will be entitled to a minimum of pay increases equal to that of the other departments [sic] heads. The manager shall be entitled to the Village's health plan. If she decides not to join the health plan she shall be entitled to a lump sum dollar amount set forth by resolution of the Board of Trustees.

5) The Manager shall obtain and throughout her employment as manager maintain a residence within the Village of Monticello. Upon her commencement of work, she has thirty (30) days to obtain such residency within the village.

6) In consideration of this agreement and the relocation of the manager to the Village of Monticello, the Village Manager shall be paid for moving expenses the additional sum of $1,500.00 upon her establishing residency in the Village of Monticello, said sum payable the pay period immediately after residency is established.

7) The manager shall have and schedule bi-monthly department head meetings.

8) The following are goals for the Village Manager as set forth by the Board:

a) Recodification
b) Develop and foster a plan for economic development
c) Code enforcement
d) Grant writing for the development of the village
e) the study of consolidation of services with the town of Thompson
f) Job descriptions and agreements with the various department heads
g) Closing the landfill
h) Development of an Architectural Board with the Planning Board

9) The duties of the Manager shall include the following but not limited to:

a) overseeing the various departments with the village.
b) Writing, adopting, and enforcing the Village budget.
c) Grant writing and administering the grant.
d) Keeping the Board advised on areas of concern on a weekly or bi-weekly report.
e) Zoning enforcement officer.
f) Running the Village office.

10) The Manager is entitled to holiday pay for all designated Village holidays in the same manner as all other department heads.

11) Separation from Village Employment:

a) The Manager must provide a thirty (30) days notice of her resignation and if the Village Board terminates the Village Manager it must provide the Village Manager 30 days notice.
b) A departing Manager shall receive payment for all unused and accrued vacation and sick days.

12) Vacation: 2 weeks (10 days)

a) The manager is entitled to 2 weeks (10 days) paid vacation in the first year, which vacation time shall be earned and accrue at a rate of 1 week (5 days) for each six (6) months of completed employment. During the second year the Manager is entitled to three weeks, during the third year four weeks and for each successive year five weeks of paid vacation. All paid vacation shall be earned and credited in the manner described for the first year of employment (pro-rata) and shall not become an automatic entitlement accruing to the Manager's account upon the anniversary of his [sic] employment. The Manager shall not be permitted to accrue more than 12 weeks (60 days) of paid vacation.
b) The Board may, upon the Manager's request, adopt a Local Law authorizing payment to the Manager in lieu of taking any accrued vacation.

13) Paid Leaves:

a) Family sickness & death- In the event of the sickness or death in the family of the Manager, her spouse, parents, children, siblings, grandparents, or father/mother-in-law, brother/sister-in-law, the Manager shall be granted four (4) adjustments, arrange for medical services or to attend funeral services.
b) Personal leave- The Manager shall be entitled to four (4) personal leave days each year, non-accumulative, to be used whenever needed. Such leave shall be granted without loss of pay, and shall not be deducted from vacation accruals or any sequence. Any personal leave days not used shall be applied to sick leave credits at the end of the calendar year.
c) Sick leave- The Manager shall earn twelve (12) sick days per year accrued at the rate of one per month to be used solely in the case of sickness or illness. Unused sick leave shall accrue form [sic] year to year to a maximum of 150 days.

14) All prior understandings and agreements between the parties are merged into this Agreement. This instrument completely expresses their full agreement.

15) This agreement may not be changed or canceled except in writing. This agreement binds the respective heirs, assigns and successors of the parties.

16) This agreement has been authorized by a Resolution by the Village Board on 4th day of August, 1997 and is effective as of August 1, 1997.
